VIDOPIX TERMS OF USE

Welcome to Vidopix, an advanced AI-powered video analysis platform provided by PixelGaze Technologies ("Company," "we," "our," or "us"). Vidopix leverages artificial intelligence and machine learning to analyse video content, detecting emotions, sentiments, key conversations, and other insightful information. By using our proprietary algorithms, Vidopix allows users to gain meaningful insights from video content for personal or business purposes.

These Terms of Use ("Terms") outline the conditions under which you may access and use Vidopix, including the services, features, and tools provided through the platform (collectively, the "Service"). By accessing, browsing, or using Vidopix in any manner, including registering an account or uploading content, you acknowledge and agree that you have read, understood, and accept all the terms and conditions stated here.

If you do not agree with any part of these Terms or the associated Privacy Policy, which is incorporated by reference into these Terms, please do not use or access Vidopix. Your continued use of the Service after changes to these Terms are posted constitutes your acceptance of any updated Terms.

Vidopix may modify, suspend, or discontinue any part of the platform at its sole discretion, without prior notice or liability to you. These Terms apply to all users, including visitors, registered users, content uploaders, and anyone interacting with the platform.

To access Vidopix and its features, you are required to create an account. By creating an account, you represent and warrant that:

• You will not create an account on behalf of another person or entity unless you have their express consent to act on their behalf.

Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities conducted under your account. Vidopix cannot be held responsible for any unauthorized access or misuse of your account caused by your failure to safeguard your login information.

If you believe your account has been compromised or used without your permission, you must notify us immediately atsupport@vidopix.com.Vidopix reserves the right to suspend or terminate your account if we detect suspicious activity or any violation of these Terms.

Vidopix allows you to upload or submit video content ("User Content") for analysis and processing by our AI technology. By submitting or uploading content, you grant Vidopix and PixelGaze Technologies a non-exclusive, royalty-free, irrevocable, perpetual, worldwide license to use, display, reproduce, modify, adapt, distribute, and store your content for operational, promotional, and marketing purposes, including but not limited to showcasing the capabilities of our AI platform. This license extends to derivative works created from your content as a result of our AI analysis.

You affirm that you either own the intellectual property rights or have received appropriate permissions from the rights holder to submit the content to Vidopix.

To ensure a safe and respectful platform, users must refrain from submitting content or engaging in behaviors that violate our guidelines. You agree that you will not upload, post, transmit, or otherwise make available any content that:

1. Spam and Unsolicited Ads: Involves mass distribution of unsolicited or unauthorized advertisements, promotional materials, or other forms of solicitation, such as "spam," "junk mail," or "chain letters."
2. Hate Speech and Discrimination: Contains any form of hate speech, discrimination, harassment, bullying, or content that promotes violence or prejudice against individuals or groups based on race, ethnicity, gender, sexual orientation, religion, or disability.
3. Illegal Activities: Promotes or encourages illegal activities, including but not limited to fraud, hacking, identity theft, drug trafficking, or criminal enterprises.
4. Intellectual Property Violations: Infringes upon or misappropriates the intellectual property rights, privacy rights, or other legal rights of third parties. This includes content that violates copyright, trademark, patent, or other proprietary rights.
5. Harmful Software: Distributes malware, viruses, trojan horses, or any software designed to interrupt, damage, or limit the functionality of any computer, device, or service.
6. Violence and Obscenity: Displays or promotes violence, sexual content, obscenity, or material that could be considered offensive, pornographic, or harmful to minors.
7. Misinformation and Impersonation: Spreads false or misleading information or impersonates any individual or entity, including falsely claiming an affiliation with any person or organization.

Vidopix reserves the right to monitor, review, and, if necessary, remove any User Content that violates these Terms or any applicable laws. We are under no obligation to pre-screen content, but we retain the discretion to delete or disable access to any content that:

1. Violates the standards outlined in these Terms.
2. Is deemed harmful, inappropriate, or otherwise objectionable by Vidopix, as determined in our sole discretion.
3. Is the subject of a legal dispute or takedown request.

We are not liable for any loss or damage arising from the removal of content, whether it is removed in response to a complaint or proactively.

Consequences for Violating User Conduct Standards: In addition to content removal, violations of the user conduct standards may result in:

1. Suspension or termination of your account.
2. Legal action, if necessary, to prevent further violations.
3. Reporting to law enforcement authorities, where applicable.

You acknowledge that Vidopix is not responsible for the behavior or content of other users and that you engage with the platform at your own risk.

Vidopix offers AI-powered features and services, some of which are accessible only through paid access. Vidopix operates on a pay-as-you-go model, with no recurring charges unless explicitly stated for subscription services.

We accept the following payment methods:

• NEFT
• RTGS
• Credit Cards and Debit Cards (Visa, MasterCard, American Express, etc.)
• UPI

Payments are processed upon purchase, and all charges, including applicable taxes, will be displayed before confirming payment. Vidopix reserves the right to modify pricing at any time, with prior notice before renewal or purchase.

Due to the pay-as-you-go nature of our services, all payments are final. We do not offer refunds or cancellations for services rendered, AI analysis conducted, or features used. Please ensure that you understand the pricing and features before committing to a payment.

If you believe you were charged incorrectly, contact us asupport@vidopix.com. for an investigation. Refunds are granted only where required by law.

To use Vidopix services, you must register for an account by providing accurate and up-to-date information. You are fully responsible for maintaining the confidentiality of your account credentials, including your username and password.

By creating an account, you agree to:

• Provide truthful and accurate information during registration.
• Promptly update any changes to your personal information.
• Keep your login credentials confidential and secure.
• Assume full responsibility for any activity that occurs under your account, whether authorized by you or not.
• Notify us immediately if you suspect any unauthorized access or security breach involving your account.

We employ industry-standard security measures to protect your personal information and account. However, no method of transmission over the internet or electronic storage is entirely secure. You agree that:

• Vidopix is not responsible for any unauthorized access or use of your account resulting from your failure to safeguard your credentials.
• You must notify Vidopix immediately if you notice any unusual or unauthorized activities under your account by contactingsupport@vidopix.com.

Vidopix reserves the right to suspend or terminate your account if we suspect unauthorized or fraudulent activity.

We take your privacy seriously. By using Vidopix, you agree to the collection, use, and storage of your personal information as outlined in our Privacy Policy. Information we collect includes:

1. Personal identification data (e.g., name, email address, payment details).
2. Uploaded content (videos submitted for analysis by the AI platform).

1. Third Party Payment Processors for payment processing.
2. Uploaded content (videos submitted for analysis by the AI platform).
3. Any other future service provider integrated for analytics or technical support.

We apply industry-standard security protocols to protect your data but cannot guarantee absolute security. By using Vidopix, you acknowledge and accept the inherent risks involved in online data transmission.

Vidopix uses artificial intelligence to analyse video content, providing insights on emotions, sentiments, and key conversations. You understand and agree to the following:

• No Guarantees: AI-generated insights are algorithm-based and may not always be accurate, complete, or reliable.
• No Liability: Vidopix does not provide any warranties regarding the accuracy or quality of the AI's conclusions, and decisions made based on these insights are at your own risk.
• Disclaimer of Liability: Vidopix is not responsible for any losses, damages, or adverse outcomes resulting from the use of or reliance on AI-generated insights.

All information generated through the AI platform should be treated as interpretative and supplementary, not definitive.

Currently, Vidopix does not feature external links or integrations with third-party websites, aside from Third party payment processors for payment processing. If, in the future, we introduce links to third-party blogs, resources, or external websites, we will clearly mark these as such.

Vidopix is not responsible for:

• The accuracy, quality, or reliability of any third-party content.
• Any harm or damages that may result from accessing third-party links.

Your use of third-party services is at your own discretion and subject to the terms and conditions of those external websites.

Vidopix utilizes third-party payment processors to handle all financial transactions on our platform. By using our service and making payments through Vidopix, you expressly agree to the following terms.

Vidopix works with external payment processors to ensure secure and reliable financial transactions. These processors operate under their own terms and conditions, privacy policies, and security measures.

• You are required to comply with the terms of service of the third-party payment processor handling your transaction, which will be available on their respective website.
• Vidopix is not responsible for any payment issues, including delays, errors, or unauthorized transactions that may arise as a result of the third-party payment processing.
• You acknowledge and agree that all payment-related information, including credit card details, failed transactions, or any contested charges, must be directed to the payment processor.

• In the event of a payment dispute or chargeback:

• Any errors or miscommunications related to payment processing are the responsibility of the third-party payment processor, and Vidopix disclaims all liabilities in this regard.

When you submit any feedback or suggestions to Vidopix, you acknowledge and agree that:

• Non-confidential: Any feedback you provide will be treated as non-confidential and non-proprietary, meaning you do not retain any ownership or privacy rights over the feedback once it has been submitted.
• Grant of License: By providing feedback, you automatically grant Vidopix a perpetual, irrevocable, worldwide, and royalty-free license to use, modify, distribute, and commercialize the feedback in any manner we deem appropriate, without any obligation to compensate you.

Vidopix is not obligated to use your feedback or implement any suggestions, and we are under no obligation to credit or compensate you for any contributions, regardless of how they are used.

You agree that your submission of feedback constitutes a waiver of any and all claims against Vidopix and its affiliates, relating to intellectual property rights or compensation arising from the use of such feedback.

Vidopix, developed by PixelGaze Technologies, is a proprietary platform featuring unique technologies and content designed for the AI-driven analysis of videos. All elements of the platform, including but not limited to text, graphics, algorithms, code, software, user interfaces, and designs, are protected under intellectual property laws.

• All content, features, and functionality on Vidopix, including but not limited to logos, icons, algorithms, software code, and technical processes, are the exclusive intellectual property of PixelGaze Technologies and are protected by copyright, trademark, patent, and other intellectual property laws.
• You do not acquire any ownership rights to any of the content or features made available to you through the use of Vidopix, except as expressly permitted under these Terms.

You agree not to engage in any of the following prohibited activities:

• Copying: You may not copy or reproduce any portion of Vidopix’s software, algorithms, or proprietary content for commercial or non-commercial purposes.
• Modification: You may not modify, adapt, or create derivative works based on any part of Vidopix without prior written permission from PixelGaze Technologies.
• Distribution: You may not distribute, sell, license, or transfer any portion of Vidopix’s intellectual property to third parties.
• Reverse Engineering: You may not attempt to reverse-engineer, decompile, or disassemble the Vidopix software or algorithms to understand its structure, processes, or codebase.
• Unauthorized Use: Any unauthorized use of Vidopix’s intellectual property, including scraping data, automated bots, or exploiting software vulnerabilities, will result in the immediate termination of your account and potential legal action.

If you infringe on PixelGaze Technologies' intellectual property rights:

• We reserve the right to immediately terminate your access to the platform.
• You may face civil or criminal penalties as allowed by applicable law, including fines, lawsuits, or statutory damages.

Vidopix retains all rights not expressly granted in these Terms, and any violation of these terms related to intellectual property will be pursued to the fullest extent of the law.

• User negligence, including sharing login credentials or failing to secure their accounts.

To maintain a safe, respectful, and productive environment on the Vidopix platform, the following behaviours are strictly prohibited:

Posting unsolicited advertisements, promotional materials, or repetitive content that disrupts the user experience or clutters discussions.

Using language or engaging in conduct that promotes discrimination, harassment, or violence against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic.

Engaging in or promoting illegal behaviors, including but not limited to drug trafficking, fraud, hacking, or any conduct that violates local, state, national, or international laws.

Threatening, stalking, or intimidating other users, including the dissemination of personal information without consent, creating a hostile environment for others.

Falsely claiming affiliation with or representing another individual or organization, misleading users about your identity or intentions.

Deliberately spreading false or misleading information, including fake news, hoaxes, or deceptive content that may harm others or disrupt the community.

• Any violation of these guidelines may result in actions ranging from a warning to immediate account suspension or termination, depending on the severity of the offense.
• Vidopix reserves the right to investigate reported violations and take appropriate action, including reporting unlawful activities to law enforcement authorities if necessary.

In the event of any disputes arising from your use of Vidopix, we encourage you to follow these steps for resolution:

Customer Support: As a first step, please contact our customer support team at support@vidopix.com. We will make every effort to resolve the issue internally and amicably.

If an internal resolution cannot be reached within a reasonable time frame, both parties may agree to pursue mediation. This involves engaging a neutral third-party mediator who will facilitate discussions to help both parties reach a mutually agreeable solution. Mediation is intended to be a collaborative process aimed at finding common ground without resorting to formal legal proceedings.

If mediation fails to resolve the dispute, the parties may opt for binding arbitration. In this case, the dispute will be submitted to an independent arbitrator whose decision will be final and enforceable. Both parties agree to bear their own costs associated with arbitration, and the arbitrator will determine the allocation of any shared expenses.

If arbitration is not successful or mutually agreed upon, either party may pursue legal action in the courts of Bengaluru, Karnataka. All disputes will be governed by the laws of India. Users acknowledge that Vidopix is not liable for any damages beyond the scope of these Terms, and you agree to indemnify Vidopix from any claims, losses, or damages arising from your misuse of the Service or violation of these Terms.

By using Vidopix, you confirm your understanding and acceptance of this dispute resolution process.

Vidopix is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. By using our platform, you acknowledge and agree to the following:

1. Accuracy and Reliability: Vidopix makes no representations regarding the accuracy, reliability, or completeness of the content or services provided. Users should independently verify any information before relying on it.
2. Availability: We do not guarantee the availability or uptime of the platform. Access to Vidopix may be interrupted due to maintenance, technical issues, or other factors beyond our control.
3. Security: While we implement measures to protect your data, we do not warrant that the platform will be free from unauthorized access or breaches. You acknowledge that no online service can be entirely secure.

To the fullest extent permitted by law, Vidopix, including its employees, affiliates, and partners, shall not be liable for any damages, whether direct, indirect, incidental, consequential, or punitive, arising from your use or inability to use the platform. This includes, but is not limited to:

1. Loss of Data: Any loss of data or content resulting from your use of the platform.
2. Loss of Profits: Any loss of profits, revenue, or anticipated savings.
3. Emotional Distress: Any emotional distress or other personal damages related to your use of Vidopix.

You agree to indemnify, defend, and hold harmless Vidopix, its employees, affiliates, and partners from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

1. Your violation of these Terms.
2. Your use of the platform in a manner that violates applicable laws or regulations.
3. Any content you submit, upload, or share through Vidopix.
4. This indemnity obligation will survive the termination of your use of the platform.

Vidopix reserves the right to modify or update these Terms periodically, typically every 26 weeks or as necessary to reflect changes in our business model or applicable laws. Key points include: Notification: Users will be notified of significant updates through an announcement on the platform or via email to the registered account.

Continued Use: Your continued use of the Service following the posting of changes constitutes acceptance of the revised Terms. If you do not agree with the changes, you should discontinue using Vidopix. It is your responsibility to review these Terms regularly for any updates.

Account Suspension: Vidopix reserves the right to suspend or terminate user accounts that violate these Terms without prior notice. Upon termination, you will lose access to your account and any content associated with it.

Invalid Provisions: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision will be construed to reflect the original intent of the parties as closely as possible.

These Terms constitute the entire agreement between you and Vidopix concerning your use of the platform, superseding any prior agreements or understandings, whether written or oral.

Vidopix shall not be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond Vidopix's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation.

Vidopix may assign or transfer these Terms, in whole or in part, at any time without notice. Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Vidopix.
